Scope of services
Pietra provides web design, custom website development, search engine optimization, promotional assets, local profile setup, review systems, and AI assistant strategy or implementation services. Specific deliverables, timelines, dependencies, and revision rounds should be described in a written proposal, quote, statement of work, or invoice.
Client responsibilities may include providing accurate business information, brand assets, copy, approvals, account access, third-party platform permissions, and timely feedback. Project schedules may shift when requested materials, approvals, or access are delayed.
Unless expressly included in writing, services do not include legal, tax, accessibility audit, security audit, regulated industry compliance, paid media management, or guaranteed search ranking results.
Payment and refund terms
Fees, deposits, payment milestones, subscription charges, and due dates will be stated in the applicable proposal or invoice. Work may pause if payment is late or if required client inputs are unavailable.
Deposits, setup fees, strategy work, design work, development time, content production, profile setup, and AI assistant configuration are generally non-refundable once work has begun because they reserve production time and create client-specific work product.
Recurring services may be cancelled according to the cancellation terms in the applicable agreement. Amounts already earned, platform charges, domain fees, hosting fees, email delivery fees, AI usage fees, and other third-party costs are not refundable unless required by law.
Intellectual property
After full payment, the client receives ownership of custom final website content, final promotional assets, and custom deliverables created specifically for the client, except for Pietra tools, templates, pre-existing code, reusable systems, libraries, process documents, know-how, and third-party materials.
Pietra may use pre-existing components, open source packages, stock assets, fonts, hosting tools, analytics tools, email services, AI services, or other third-party products. Those materials remain subject to their own licenses and terms.
The client grants Pietra Solutions LLC permission to use client-provided materials as needed to perform the services. Unless a client requests otherwise in writing, Pietra may reference completed work in portfolios, case studies, proposals, and marketing materials.
Client content, approvals, and platforms
The client is responsible for the accuracy, legality, and ownership rights of business information, claims, images, reviews, testimonials, product details, promotions, and other materials provided for use in websites, local profiles, SEO content, promotional assets, and AI assistant responses.
The client is also responsible for maintaining appropriate access to domains, hosting, email accounts, analytics accounts, business profiles, social platforms, booking tools, payment providers, and other connected services.
Approved content, designs, launches, profile updates, and assistant behavior are considered accepted unless the applicable agreement provides a different review process.
AI assistants and automated tools
AI assistants, chat widgets, and automated intake tools are designed to help answer common questions, collect lead information, route requests, and support customer workflows. They may produce incomplete or inaccurate responses and should not be used as the sole source for legal, medical, financial, emergency, or other high-stakes advice.
Clients are responsible for reviewing assistant instructions, business rules, escalation paths, disclaimers, and generated outputs, especially where regulated services, pricing, availability, policies, or customer commitments are involved.
Limitation of liability
To the fullest extent permitted by law, Pietra Solutions LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost rankings, platform suspensions, advertising results, or business interruption.
The total liability of Pietra Solutions LLC for any claim related to the services or these terms will not exceed the amount paid by the client for the specific service giving rise to the claim during the three months before the event giving rise to liability.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply where prohibited by law.
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Venue for disputes will be in the state or federal courts located in New Jersey, unless a different venue is required by law.
